LICENSOR: TODOBOM.COM Tecnologia da Informacao Ltda, a private legal entity, registered with CNPJ under no. 03.787.457/0001-86, headquartered at Rua Blumenau, 200, Cacador - SC, Brazil.
LICENSEE: Individual or legal entity that adheres to this agreement at the time of contracting the Ticketz PRO Software License product, according to the data provided during registration.
This instrument constitutes an Adhesion Agreement, governed by the clauses and conditions below.
1.1. The purpose of this agreement is to grant a temporary, non-exclusive, non-transferable, and revocable license to use the software known as Ticketz PRO, owned by the LICENSOR. 1.2. The granted license does not imply assignment or transfer of intellectual property rights over the software, source code, trademarks, or any related rights. 1.3. The LICENSEE acknowledges that the software will run on infrastructure owned or contracted by the LICENSEE, and the LICENSEE is solely responsible for provisioning, configuration, security, and maintenance of the environment required for its execution. 1.4. The software has a multi-company architecture (logical multitenant) and allows use both: a) exclusively by the LICENSEE, for internal use; and b) under the White Label SaaS model, with access resale to third parties. 1.5. The brand customization (White Label) feature is a native software functionality, performed exclusively through settings available in the system itself, without any source-code modification, access, or delivery.
2.1. Ticketz PRO usage license is granted on a monthly, prepaid basis. 2.2. The license fee is the amount defined at the time of contracting, according to the plan selected by the LICENSEE. 2.3. Payment must be made before the beginning of each monthly usage period. 2.4. The LICENSEE may contract additional services, extra features, modules, or complementary resources made available by the LICENSOR. 2.5. Such additional services may: a) generate an immediate one-time charge at the time of contracting; and/or b) change the monthly fee, becoming part of the LICENSEE's active plan from the contracting date. 2.6. Commercial conditions, prices, and billing format for additional services will be informed to the LICENSEE in advance at the time of contracting.
3.1. The license will be automatically renewed every month, for equal and successive periods. 3.2. In case of non-payment, a 5 (five) calendar-day grace period will be granted, counted from the due date. 3.3. During the grace period, the system will remain active. 3.4. If the grace period expires without payment regularization, the LICENSOR may restrict, block, or deactivate software use, including by technical licensing mechanisms, causing the system to stop working until outstanding amounts are settled.
4.1. The license fee may be adjusted by the LICENSOR, at its discretion, with a minimum prior notice of 30 (thirty) days to the LICENSEE. 4.2. If the LICENSEE does not agree with the adjustment, the agreement may be terminated before the beginning of the new adjusted term, without additional burden.
5.1. Provide the LICENSEE with the Ticketz PRO software, as well as basic instructions for installation and use. 5.2. Provide software updates, fixes, or improvements, at its discretion, during license validity. 5.3. The LICENSOR is not responsible for availability, performance, security, or data integrity in the environment where the software is installed, since this is the LICENSEE's responsibility.
6.1. Provide, maintain, and ensure proper functioning of the infrastructure required to run the software, including but not limited to servers, operating systems, databases, networks, backups, and connectivity. 6.2. Use the software exclusively for lawful purposes and in accordance with applicable law. 6.3. Not copy, modify, reverse engineer, distribute, sublicense, or commercially exploit the software, except within the limits expressly permitted in this agreement, and acknowledging that White Label brand customization does not characterize software modification or derivative work creation, since it occurs exclusively through native configuration resources. 6.4. Keep registration data up to date. 6.5. Be fully responsible for content inserted into the system and for use made by its users, logins, and passwords. 6.6. When choosing to resell access to third parties, the LICENSEE is fully responsible for the commercial, contractual, financial, technical, and legal relationship with its end customers.
7.1. The LICENSOR is not responsible for failures, downtime, data loss, security incidents, or damages resulting from misconfiguration, hardware failures, third-party software, cyberattacks, lack of backups, or poor management of the LICENSEE infrastructure. 7.2. The LICENSOR is not responsible for indirect damages, lost profits, or business interruptions arising from software use. 7.3. The LICENSEE is solely responsible for decisions made based on information obtained through the software. 7.4. Under no circumstances shall there be a legal, contractual, or consumer relationship between the LICENSOR and the LICENSEE's end customers, even if the software is used under a White Label model.
8.1. The agreement may be terminated by either party at any time, by canceling automatic renewal. 8.2. Termination of this agreement automatically implies cessation of the right to use the software, including for the LICENSEE's end customers, when applicable. 8.3. Termination does not generate any right to refund amounts already paid for the current period. 8.4. In case of default, the LICENSOR may automatically terminate the agreement, without prejudice to collection of outstanding amounts.
9.1. This agreement enters into force on the date of electronic adhesion by the LICENSEE and remains valid while there are valid payments and active renewals.
10.1. The courts of the District of Cacador - SC, Brazil, are elected, with waiver of any other, however privileged, to settle any disputes arising from this agreement.
By adhering to the Ticketz PRO product, the LICENSEE declares having read, understood, and fully accepted the terms of this agreement.
